Regulation Crowdfunding
(Reg-CF)
Regulation Crowdfunding (often referred to as Reg-CF) allows US Companies to raise up to $5M from Accredited and Non-Accredited investors.
To launch Reg-CF campaign, Companies are required to file Audited or Reviewed Financial Statements depending on fundraising goals. A brief overview of requirements is below:
- Raising $124K or less:
(a) 2 Recent Years Financial Statements*
(b) CEO to Certify the Financial Statements (no CPA services needed)
- Raising up to $1.235M:
(a) 2 Recent Years Financial Statements (US GAAP)*
(b) CPA to Review the Financial Statements
- Raising up to $5M:
(a) 2 Recent Years Financial Statements (US GAAP)*
(b) CPA to Audit the Financial Statements
* If the business is newly incorporated and does not have 2 years of operating history, an "Inception Date Financial Statements" are required.
Regulation A+ is an exempt offering (often referred to as mini IPO) through which a Company can raise up to $75M from Accredited and Non-Accredited investors.
Regulation A has two offering tiers:
Tier 1 allows a Company to raise up to $20M
Tier 2 allows a Company to raise up to $75M
Both Tier 1 and Tier 2 offerings share common requirements, including eligibility criteria, disqualification of bad actors, periodic disclosure obligations, and ongoing reporting duties. For Tier 2 offerings, an audit of financial statements (compliant with SEC Rule 2-01 for independence and Regulation S-X for disclosures) is also mandatory to secure SEC qualification and launch the campaign.
